Welcome to Securovo LLC. These Terms of Service (“Terms”) govern your use of this website and the services we provide. By using this website or engaging us, you agree to be bound by them. Please read them carefully. If you disagree with any part of them, please do not use this website or our services.
Our services
Three services are the core of what Securovo does for growing businesses:
- Websites: design, build, hosting, and maintenance, together with the Google Business Profile setup and SEO foundations that make a site findable.
- Software and tools: selecting and setting up off-the-shelf tools where they fit, building custom apps and internal tools where they do not, and integrating the systems you already run.
- Advertising and social: search advertising on Google and advertising on Facebook and Instagram, including campaign setup, ongoing management, and performance reporting. Social content management is available for some clients.
Alongside these, and offered case by case, we also take on managed IT (network, device, and email support, and remote technical help), cybersecurity (assessments, multi-factor authentication, backups, and monitoring), workflow automation and system integration, and e-commerce and content operations (catalog management, inventory updates, and site content maintenance).
What we will actually do for you is set out in your proposal or service agreement, not here.
Service agreement
Scope of services
Services are provided as set out in your specific service agreement or proposal. Service levels, response times, and deliverables are documented there. Any change to the scope of services must be agreed in writing by both parties.
Term and termination
Services may run on a monthly, annual, or project basis, as specified in your agreement. Either party may terminate with written notice as specified in that agreement. We may suspend or terminate services for non-payment or for a breach of these Terms.
Payment terms
- Pricing: fees are set out in your service agreement or proposal and are subject to the terms specified there.
- Payment schedule: invoices are issued according to your agreement: monthly, quarterly, or on project completion.
- Payment methods: we accept credit card, ACH transfer, or check.
- Late payments: a late fee may be applied to invoices not paid within 30 days of the due date.
- Disputed charges: billing disputes must be raised within 30 days of the invoice date.
- Price changes: we may change pricing with 30 days written notice.
- Onboarding and setup fees: one-time setup fees detailed in your proposal are non-refundable and due before services begin.
- Third-party costs: you are directly responsible for third-party media costs (for example Google or Meta ad spend) and software license fees unless they are explicitly included in your plan. These are paid directly to the platforms concerned. We take no percentage of your ad spend.
Your responsibilities
So that we can do the work properly, you agree to:
- Provide accurate and complete information needed to deliver the services.
- Grant timely access to the systems, accounts, and resources required.
- Respond to service requests and communications within a reasonable time.
- Maintain appropriate backups of your critical data.
- Comply with all applicable laws and regulations.
- Use our services and this website only for lawful purposes.
- Not attempt to interfere with or disrupt our services or this website.
Intellectual property
Our rights
All content, features, and functionality of this website and our services (including software, text, graphics, logos, and designs) are owned by Securovo LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Your content
You retain all rights to your content and data. By using our services you grant us a limited license to use your content solely to provide the services to you. We will not use it for any other purpose without your consent.
Warranties and disclaimers
What we commit to:
- We will provide services in a professional and workmanlike manner.
- We will use industry-standard security practices to protect your data.
- We will respond to support requests according to agreed service levels.
What we cannot promise:
- Services are provided “as is”, without warranties of any kind beyond those explicitly stated in your service agreement.
- We do not guarantee uninterrupted or error-free service.
- We are not responsible for issues caused by third-party services, internet connectivity, or other factors outside our control.
- Results from advertising and marketing services vary and are not guaranteed. Search engines and advertising platforms set their own rules and change them without notice.
Limitation of liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from our services will not exceed the amount you paid us for services in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages.
- We are not liable for any loss of data, revenue, profits, or business opportunities.
- These limits apply regardless of the legal theory of liability.
Some jurisdictions do not allow certain limitations of liability. Where that is the case, our liability is limited to the maximum extent that jurisdiction permits.
Confidentiality
Both parties agree to keep confidential any proprietary or confidential information disclosed during the working relationship, including business strategies, technical information, customer data, and pricing. Confidential information may not be disclosed to third parties without prior written consent, except where required by law.
Indemnification
You agree to indemnify and hold Securovo LLC harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of our services, (b) your breach of these Terms, (c) your violation of any third-party rights, or (d) any content or data you provide to us.
Governing law and dispute resolution
Governing law
Securovo LLC is registered in the Commonwealth of Virginia, United States. These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia and the applicable federal laws of the United States, without regard to conflict of law principles.
Dispute resolution
Any dispute arising from these Terms or our services will first be addressed through good faith negotiation. If that does not resolve it, the dispute may be settled by mediation or binding arbitration as mutually agreed. Where court proceedings are necessary, the parties submit to the state and federal courts located in the Commonwealth of Virginia.
Changes to these Terms
We may modify these Terms at any time. We will post the updated version on this page and update the “Last updated” date above. Your continued use of this website or our services after a material change means you accept the updated Terms.
General provisions
- Entire agreement: these Terms, together with your service agreement, form the entire agreement between you and Securovo LLC.
- Severability: if any provision is found unenforceable, the rest remain in full force.
- Waiver: a failure to enforce a right or provision is not a waiver of it.
- Assignment: you may not assign your rights or obligations without our prior written consent.
- Force majeure: we are not liable for delays or failures in performance caused by circumstances beyond our reasonable control.
